Appoint a Company Director – What’s this?

A company director is responsible for managing the company and ensuring it complies with its legal obligations. Directors make important business decisions and are responsible for the company’s operations. Every Australian company must have at least one director who ordinarily resides in Australia, and each director must consent in writing to their appointment. This form allows you to enter details for up to four (4) company directors. If your company has more than four directors, please provide the additional details in the “Other Information” section at the end of this form.

Appoint a Company Shareholder – What’s this?

A company shareholder (also known as a member) is the owner of the company. Shareholders own shares in the company and may be entitled to receive dividends, vote on certain company matters, and share in any remaining assets if the company is wound up. A shareholder owns one or more shares in the company. The number and type of shares determine their ownership interest and may affect their voting rights and entitlement to dividends. A shareholder can be an individual or another entity, such as a company or trust. This form allows you to use up to the four (4) company directors entered previously, as they shareholders, or you can enter different shareholders if required. If your company has different Shareholders than those mentioned as Directors of the company, please provide the additional details below under “Additional details of shareholding” section at the end of this page.

Appoint a Company Public Officer – What’s this?

A public officer is the person authorised to deal with the Australian Taxation Office (ATO) on behalf of the company. They are responsible for ensuring the company’s tax obligations are met and for receiving official correspondence from the ATO. Every Australian company must appoint a public officer within three months of commencing business or becoming liable to pay tax. The public officer must be a natural person aged 18 or over, ordinarily residing in Australia — often the same person as one of your directors.

A company secretary assists with the company’s administrative and compliance responsibilities, such as maintaining company records and lodging documents with ASIC. A company secretary is optional for most proprietary companies, and many small businesses choose not to appoint one. If you do appoint a secretary, at least one must ordinarily reside in Australia — this can be the same person as one of your directors.

  • The proposed business name holder and relevant persons are not disqualified from managing corporations or holding a business name:
  • I am not disqualified from managing corporations under Section 206B(1) of the Corporations Act 2001.
  • Within the last 5 years I have not been convicted of, or released from prison after being convicted of, and serving a term of imprisonment for, any of the criminal offences referred to in Section 32(1)(c) or (d) of the Business Names Registration Act 2011. (A person who is an undischarged bankrupt or who has entered into a personal insolvency agreement under Part X of the Bankruptcy Act 1966 remains eligible to register a business name.)
  • have not been banned by ASIC or a court from managing corporations under the Corporations Act 2001 (the length of the banning period will be set by ASIC or the court)
  • have not been convicted of dishonesty-related offences, such as fraud. (These people are automatically banned for five years from the date of their conviction or, if imprisoned, for five years from the date of their release.)
  • Relevant persons have not been banned by ASIC or a court from managing corporations.
  • CQ Taxation Services Pty Ltd will be notified immediately if a relevant person becomes disqualified.
  • I authorise CQ Taxation Services Pty Ltd to submit the requested business name application to ASIC using the information provided.

  • The ABN is not being requested solely because a person or organisation has asked the company or an individual to obtain an ABN as a condition of employment.

  • I authorise CQ Taxation Services Pty Ltd, ABN 38 162 354 716, to prepare and submit an ABN application to the Australian Taxation Office on behalf of the proposed company using the information provided in this application.
  • Where requested in this application, I also authorise CQ Taxation Services Pty Ltd to prepare and submit associated registrations, including application of an Australian Business Number (ABN), Tax File Number (TFN), a business name application, Goods and Services Tax (GST) registration, Pay As You Go Withholding (PAYGW) registration and Fuel Tax Credits (FTC) registration.
  • I am authorised to complete and submit this application on behalf of the proposed company.
